Terms of Service

Pitch (“we,” “our,” or “us”) operates the website gopitch.live and all related services (collectively, the “Service”). Pitch is a live video networking platform designed to connect startup founders, investors, talent, and product testers through real-time video calls. The Service includes user profile creation, role-based matchmaking, live video and audio communication, screen sharing, friend connections, and optional premium features.

By accessing or using the Service, you enter into a legally binding agreement with Pitch and agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any additional guidelines or rules posted on the Service. If you do not agree to these Terms, you must immediately stop using the Service. We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email, and your continued use after such notice constitutes acceptance.

You must be at least eighteen (18) years of age to create an account or use the Service. By registering, you represent and warrant that you meet this age requirement and have the full legal capacity to enter into these Terms. The Service is currently available only to users located in the United States. By accessing the Service, you represent that you are accessing it from within the United States.

We reserve the right to request verification of age or location at any time and to suspend or terminate accounts that do not meet eligibility requirements. If we learn that a user under 18 has created an account, we will promptly delete that account and all associated data.

Accounts are created through third-party authentication providers (such as Google). You are responsible for maintaining the security of your authentication credentials and for all activity that occurs under your account. You agree to:

• Provide accurate, current, and complete profile information.
• Keep your profile information updated to reflect any changes.
• Not create more than one account per person.
• Not impersonate any other person or entity, or misrepresent your affiliation with any person or entity.
• Not share, transfer, or sell access to your account.
• Notify us immediately at team@gopitch.live if you suspect unauthorized access to your account.

We reserve the right to suspend, disable, or delete any account at our sole discretion, including accounts that are inactive for an extended period, or accounts that violate these Terms.

When using the Service, you agree not to engage in any of the following prohibited activities:

• Harassing, threatening, intimidating, bullying, or abusing other users during video calls or through any feature of the Service.
• Sharing sexually explicit, violent, hateful, discriminatory, or otherwise objectionable content during video sessions or in your profile.
• Using the Service for any unlawful purpose, including soliciting others to participate in illegal activities.
• Spamming, phishing, scamming, or deceiving other users, including misrepresenting your identity, professional role, or business intentions.
• Recording, screenshotting, or capturing video calls without the explicit, informed consent of all participants.
• Promoting fraudulent investment schemes, pump-and-dump operations, or any form of securities fraud.
• Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service.
• Using automated tools, bots, scrapers, or scripts to access, interact with, or extract data from the Service.
• Interfering with or disrupting the integrity, security, or performance of the Service or its underlying infrastructure.
• Sharing another user’s personal information, including contact details, without their explicit consent.
• Using the Service for any purpose unrelated to professional networking, including dating, personal advertising, or solicitation.

Violations of this section may result in immediate suspension or permanent termination of your account, at our sole discretion, without prior notice or refund.

Pitch offers an optional Pro subscription plan at $19.99 per month (“Pro”), which provides access to enhanced features including extended call durations, priority matchmaking, advanced filters, and other premium functionality as described on the Service. Features included in the Pro plan may change from time to time.

All payments are processed securely through third-party payment processors. By subscribing to Pro, you authorize us to charge your selected payment method on a recurring monthly basis until you cancel. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.

You may cancel your subscription at any time through the Service or by contacting us at team@gopitch.live. Cancellation takes effect at the end of the current billing period; you will retain access to Pro features until that date. We do not provide prorated refunds for partial billing periods. All fees are stated in U.S. dollars and are non-refundable except as required by applicable law or at our sole discretion. We reserve the right to change subscription pricing with at least thirty (30) days’ advance notice.

The Service, including its design, source code, features, branding, logos, text, graphics, and all other content created by Pitch (collectively, “Pitch Content”), is the exclusive intellectual property of Pitch and is protected by applicable copyright, trademark, trade dress, and other intellectual property laws. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works based on Pitch Content without our prior written consent.

You retain ownership of any content you create, upload, or share through the Service (“User Content”). By posting User Content, you grant Pitch a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, and distribute your User Content solely in connection with operating, providing, and improving the Service. This license terminates when you delete your User Content or your account, except where your content has been shared with others and they have not deleted it.

The name “Pitch,” the Pitch logo, and all related names, logos, and slogans are trademarks of Pitch. You may not use these marks without our prior written permission.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

Video and audio calls on Pitch are live, real-time interactions. We do not record, store, or have access to the content of your video or audio calls. All media streams are processed in real time through secure infrastructure and are not retained after the session ends.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not endorse, verify, or guarantee the accuracy, completeness, or reliability of any information provided by users, including professional credentials, business affiliations, investment capacity, or business claims. You use the Service at your own risk and are solely responsible for evaluating the individuals and organizations you connect with.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PITCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Pitch and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any User Content you post or share through the Service. This indemnification obligation shall survive the termination of these Terms and your use of the Service.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without prior notice. Grounds for termination include, but are not limited to, violations of these Terms, fraudulent or illegal activity, extended inactivity, or conduct that we determine, in our sole discretion, to be harmful to other users or to the integrity of the Service.

You may terminate your account at any time by contacting us at team@gopitch.live. Upon termination, your right to use the Service ceases immediately. We will delete your personal data within thirty (30) days of account deletion, except where retention is required by law or for legitimate business purposes. Any active Pro subscription will not be refunded upon termination for cause.

The following sections shall survive termination of these Terms: Intellectual Property, Disclaimers and Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (“Dispute”) shall first be attempted to be resolved through good-faith informal negotiation. You agree to contact us at team@gopitch.live with a written description of the Dispute before initiating any formal proceedings. The parties shall have sixty (60) days from receipt of such notice to attempt resolution.

If the Dispute is not resolved through informal negotiation, it shall be settled by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted in English by a single arbitrator in Wilmington, Delaware. The arbitrator’s decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

YOU AND PITCH EACH WAIVE THE RIGHT TO A TRIAL BY JURY. YOU ALSO WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All Disputes shall be resolved on an individual basis only.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Pitch regarding your use of the Service. These Terms supersede all prior agreements, representations, and understandings, whether written or oral.
